1. General Information
These B2B Terms & Conditions apply to all business transactions between Dropsofsoul e.U., Brigittaplatz 9, 1200 Vienna, Austria, and business customers (hereinafter referred to as “Partners”) purchasing Drops of Soul products for professional use in the hospitality, retail, or event sector.
2. Eligibility
This B2B program is exclusively intended for:
• Registered businesses (e.g., bars, restaurants, cafés, retail outlets, distributors )
• Legal entities and self-employed professionals
Private individuals are excluded from these terms and will be directed to our standard consumer shop.
3. Product Offering
Available to partners:
• Shrubs in bulk volumes ( 3L, and 5L options)
• Custom-developed flavors tailored to the partner’s concept
• Drink development services to co-create menu offerings
• Masterclasses for staff (available free of charge depending on partnership scope)
Custom and bulk products may vary in labelling compared to retail units.
4. Orders On Custom Flavour Development
• Custom flavor development requires a smallest quantity commitment (quoted individually)
• First minimum order: €130 (net)
• Reorder minimum: €60 (net)
5. Prices & Payment
• All prices are net (excl. VAT)
• Payment options: Invoice (7 days net), bank transfer, or card (upon request)
• Custom flavors are subject to a 50% deposit before development begins
Drops of Soul reserves the right to adjust prices in line with ingredient costs or packaging changes.
6. Shipping & Delivery
• Delivery in Vienna & Niederösterreich: Handled in-house
• Nationwide Austria: via Österreichische Post
• Estimated delivery time: 1–3 working days, depending on volume and customization
• Shipping costs are quoted individually based on order size and location
7. Returns & Complaints
• As products are made to order, returns are generally excluded
• Damaged goods must be reported within 48 hours of delivery with photo evidence
• If a product is faulty or improperly labeled, we will offer a replacement or refund
8. Exclusivity & Custom Recipes
• Exclusive flavors are available upon request and topic to separate agreements
• All custom product formulas and recipes stay the intellectual property of Drops of Soul, unless otherwise agreed
9. Data Protection
Personal data will be collected and processed in accordance with the General Data Protection Regulation (GDPR).

10. Termination of Collaboration
Either party may end the collaboration with 14 days’ notice. Ongoing custom orders must be completed and paid in full.
11. Legal Jurisdiction
All contracts are contingent on Austrian law, with Vienna as the exclusive place of jurisdiction.
